1. Acceptance of Terms

By accessing or using CallDispatcher ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

CallDispatcher provides an AI-powered phone answering and dispatch service designed for HVAC, plumbing, and electrical contractors. The Service includes:

• 24/7 AI-powered call answering and routing
• Emergency call triage and escalation
• Warm transfer capabilities with whisper briefings
• SMS-based dispatch and communication (on applicable plans)
• Call recording, transcription, and summarization
• Web-based dashboard for call management

3. Account Registration and Eligibility

3.1 Business Verification

CallDispatcher is intended for legitimate business use only. By registering, you represent that:

• You are registering on behalf of a real, operating business
• The business name, address, and phone number you provide are accurate and verifiable
• Your business is properly licensed to operate in your jurisdiction

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4. Subscription Plans and Billing

4.1 Free Trial

We offer a 14-day free trial for qualified businesses. The trial includes:

• Full access to features included in your selected plan
• No credit card required to start
• Automatic expiration at the end of the trial period

We reserve the right to limit, modify, or terminate free trials at any time.

4.2 Paid Subscriptions

After your trial, continued use requires a paid subscription. By subscribing, you agree to:

• Pay the fees associated with your selected plan
• Automatic monthly billing unless you cancel
• Overage charges for usage exceeding your plan limits

4.3 Cancellation and Refunds

You may cancel your subscription at any time through your account dashboard. Upon cancellation:

• Service continues until the end of your current billing period
• No refunds are provided for partial months
• Your data will be retained for 30 days, then deleted upon request

5. Acceptable Use

You agree to use the Service only for lawful purposes. You may NOT use CallDispatcher to:

• Conduct illegal activities or promote unlawful behavior
• Harass, abuse, or harm others
• Send spam, unsolicited communications, or telemarketing
• Impersonate another person or business
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to our systems
• Violate any applicable laws or regulations
• Handle calls unrelated to legitimate business dispatch operations

Violation of these terms may result in immediate account termination without refund.

6. Call Recording Consent

By using CallDispatcher, you acknowledge and agree that:

• All calls handled by our Service are recorded
• Callers are notified of recording at the beginning of each call
• You are responsible for compliance with call recording laws in your jurisdiction
• Recordings are used for service delivery, quality assurance, and dispute resolution

Some jurisdictions require all-party consent for call recording. You are responsible for understanding and complying with applicable laws.

7. SMS/Text Messaging Compliance

If you use SMS features, you agree to:

• Obtain proper consent before sending messages to customers
• Honor opt-out requests promptly
• Comply with TCPA, CTIA guidelines, and carrier requirements
• Not send spam, prohibited content, or messages to numbers on do-not-call lists
• Use messaging only for dispatch-related communications

You are solely responsible for SMS compliance. Violations may result in carrier blocking, fines, and account termination.

8. Intellectual Property

The Service, including its software, design, features, and content, is owned by CallDispatcher and protected by intellectual property laws. You may not:

• Copy, modify, or distribute our software or content
• Reverse engineer or attempt to extract source code
• Remove any proprietary notices or labels
• Use our trademarks without written permission

You retain ownership of your business data and content you provide to the Service.

9. Service Availability and Support

9.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.

9.2 Support

Support availability varies by plan:

• Basic & Standard: Email support during business hours
• Pro: Email support with priority response
• Ultimate: Dedicated support with priority response

10. AI Technology Limitations and Disclaimer

10.1 AI Can Make Mistakes

Our AI-powered voice and text dispatch system, while advanced, is not perfect and may:

• Misunderstand or misinterpret caller statements, accents, or speech patterns
• Provide inaccurate, incomplete, or inappropriate responses
• Fail to recognize emergencies or incorrectly classify call urgency
• Generate incorrect summaries, transcripts, or dispatch information
• Experience "hallucinations" where it produces plausible-sounding but incorrect information
• Fail to properly execute warm transfers or call routing
• Mishandle sensitive information or fail to collect required details

You should not rely solely on AI-generated outputs for critical business decisions. We strongly recommend reviewing call recordings, transcripts, and dispatch tickets for accuracy, especially for emergency or high-value situations.

10.2 No Guarantee of Accuracy

AI TRADE VENTURES LLC ("Company") DOES NOT GUARANTEE THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED BY THE AI SYSTEM. The AI technology underlying CallDispatcher is probabilistic in nature and outputs may vary. Information provided by our AI should be verified independently before taking action.

10.3 Assumption of Risk

BY USING CALLDISPATCHER, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

• AI technology is inherently imperfect and errors will occur
• You assume all risk associated with relying on AI-generated information
• You are responsible for verifying the accuracy of AI outputs
• You will maintain appropriate human oversight of AI-handled communications
• You will not hold AI Trade Ventures LLC responsible for AI errors, omissions, or mistakes

10.4 No Liability for AI Errors

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AI TRADE VENTURES LLC ASSUMES NO RESPONSIBILITY AND SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR HARM ARISING FROM:

• Errors, mistakes, or inaccuracies in AI-generated responses or outputs
• Misclassification of emergency or non-emergency calls
• Incorrect routing, failed transfers, or missed calls due to AI error
• Inaccurate transcriptions, summaries, or dispatch tickets
• Any business decisions made based on AI-generated information
• Lost revenue, lost customers, or reputational harm resulting from AI mistakes
• Any other consequences arising from the use of AI technology in our Service

10.5 Continuous Improvement

We continuously work to improve our AI systems, but improvements may change how the AI responds to similar situations. You acknowledge that AI behavior may evolve over time as we update our models and algorithms.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT RESPONSIBLE FOR MISSED CALLS, FAILED TRANSFERS, OR BUSINESS LOSSES RESULTING FROM SERVICE ISSUES
• AI TRADE VENTURES LLC ASSUMES NO RESPONSIBILITY FOR ERRORS OR MISTAKES MADE BY THE AI SYSTEM

12. Indemnification

You agree to indemnify and hold harmless AI Trade Ventures LLC (doing business as CallDispatcher), its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your business's interactions with callers and customers
• Any reliance on AI-generated information or outputs

13. Termination

We may suspend or terminate your account at any time if:

• You violate these Terms
• Your account cannot be verified as a legitimate business
• Your payment method fails and is not updated
• We are required to do so by law
• We discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive will remain in effect.

14. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect. Your continued use after changes constitutes acceptance of the new Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of New Hampshire, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and AI Trade Ventures LLC.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce a right does not waive that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
